1. Introduction
These Terms and Conditions (“Terms”) govern all services provided by Red Ant Lab, including website design, development, hosting, maintenance, and management. By engaging our services, you agree to be bound by these Terms.
2. Scope of Services
2.1 Website Design & Development
We agree to design and develop a website based on the project scope approved by both parties. Deliverables may include, but are not limited to:
- Website layout and design
- Functionality and integrations
- Content placement
- Responsive design
Any feature or functionality not outlined in the original scope will be considered additional work and may incur extra fees.
2.2 Website Hosting
If hosting services are chosen:
- Hosting is provided on third-party or in-house servers as specified.
- We aim to maintain a minimum of 99% uptime but do not guarantee uninterrupted service.
- Scheduled maintenance or emergencies may temporarily affect access.
2.3 Website Management & Maintenance
Website management may include:
- Content updates
- Security monitoring
- Plugin/theme updates
- Backups
- Technical support
The exact services and frequency will be defined in your plan or agreement.
3. Payment Terms
- A deposit of 15% is required before design or development begins.
- Remaining payments are due upon project milestones or final delivery.
- Hosting and management fees are billed monthly or annually in advance.
- Late payments may result in suspension of services until payment is received.
All fees are non-refundable unless otherwise agreed in writing.
4. Client Responsibilities
The Client agrees to:
- Provide all content, images, information, and branding assets required for the project in a timely manner.
- Ensure that all provided materials do not infringe on third-party copyrights.
- Review and approve work within reasonable timelines.
- Maintain backups of their own content unless the maintenance plan specifically includes backups.
Delays in providing materials or approvals may delay the project.
5. Revisions & Change Requests
- The project includes 2 rounds of revisions unless otherwise stated.
- Additional revisions or major changes beyond the agreed scope may incur additional charges.
- Changes requested after final approval will be billed at the standard hourly rate.
6. Intellectual Property
6.1 Client Content
All content provided by the Client remains the property of the Client.
6.2 Designer Assets
Unless otherwise purchased:
- Source files, proprietary tools, or custom software remain the property of the Designer.
- The Client receives a license to use the website for its intended purpose.
6.3 Final Website Ownership
Upon full payment:
- The Client owns the final exported website files and visual design.
- The Designer retains the right to display completed work in their portfolio.
7. Hosting & Security
7.1 Limits of Liability
While we take reasonable steps to ensure security and uptime:
- We cannot guarantee immunity from hacking, data breaches, downtime, or loss of data.
- The Client is responsible for implementing additional security measures if desired.
7.2 Suspended or Terminated Accounts
Failure to pay hosting or management fees may result in suspension or deletion of the website after [number] days’ notice.
8. Warranties & Disclaimers
The Designer:
- Makes no guarantees regarding sales, traffic, search engine rankings, or specific business outcomes.
- Is not responsible for issues caused by third-party services, plugins, or Client modifications.
The Client agrees to use the website and hosting services at their own risk.
9. Confidentiality
Both parties agree to keep confidential information private unless required by law.
10. Termination
Either party may terminate services with [number] days written notice.
Upon termination:
- All outstanding balances must be paid.
- Hosting and management services will cease at the end of the billing cycle unless otherwise agreed.
11. Limitation of Liability
To the fullest extent permitted by law:

- The Designer is not liable for indirect, incidental, or consequential damages.
12. Indemnification
The Client agrees to indemnify and hold the Designer harmless from any claims, damages, or expenses arising from:
- Client-provided content
- Client misuse of the website
- Third-party actions not controlled by the Designer
13. Governing Law
These Terms are governed by the laws of [Your Country/State]. Any disputes will be handled in the courts of that jurisdiction.
14. Amendments
We may update these Terms periodically. Continued use of services constitutes acceptance of the new Terms.
